Definitions and General Conditions A. Introduction to the Platform Welcome to the "Sals" Platform, operated by Ghaith Al-Aamal Information Technology Company in the Kingdom of Saudi Arabia. We are an electronic intermediary platform that connects service providers (“Suppliers”) and customers. Service providers can register accounts on the platform to display their services and products. In addition, the platform allows customers to communicate with service providers to make purchases and facilitates communication between users. This agreement regulates the legal relationship between all users and the platform, as well as the legal relationship between the customer and the service provider. B. Terminology In this agreement, unless the context requires otherwise, the following terms are defined as follows: "Salsal", "Application", "Platform", "We", "Us", or "Our" refers to the "Salsal" platform, which was created, managed, and supervised by Ghaith Business Information Technology Company in the Kingdom of Saudi Arabia. "User", "You", or "Your" refers to the person who visits, uses, or registers for membership on the platform, offers services and products for sale through it, communicates with service providers regarding advertisements, services, and products offered, or any person who uses the platform in any way. "Service Provider" or "Supplier" refers to any natural or legal person who offers their services and products for sale through the platform. "Customer": refers to any person or entity who communicates directly with the Service Provider regarding services, products, and other advertisements available through the Platform for the purpose of purchasing or inquiring about them through the Platform. 2. Registration and Accounts A. Creating an Account The "Sals" Platform offers two types of accounts: a Customer Account and a Service Provider Account (the "Supplier"). Members must adhere to the following conditions upon registration: - The User, a natural person, must provide personal registration data, including name, mobile number, and any additional data the Platform may request. - The User, a legal entity, must provide company registration data, including name, company name, country, city, commercial registration number, mobile number, company email, and the Service Provider's personal email, in addition to any additional data the Platform may request. - The User must register under their real name and avoid using pseudonyms or fake names, as this represents the User's personal account. - The account image must be legal and legitimate and not violate the rights of others. The membership name or account image must not contain the word "Sals" to avoid association with the Platform. - The user undertakes to maintain the confidentiality of their account information, such as their username and password, and is responsible for any disclosure of this information to third parties. - In the event that their account is hacked, stolen, or any unauthorized use of their account is discovered, they must immediately notify the platform. - Using another person's account without the platform's express consent is prohibited. More than one membership must not be registered for a single user. If this is discovered, all related accounts will be cancelled. - The platform reserves the right to cancel any membership that violates the terms set forth in this agreement or the platform's instructions. - Under this agreement, the platform is authorized to display the user's membership name, certain user data, and account picture to other users and platform visitors. b. Account Termination The user has the right to terminate their account at any time by following the procedures specified by the platform. - To terminate their account, the user must send a request to the platform containing a request to terminate the account and explaining the reasons, if applicable. - Upon receipt of the request, the platform will process it and take the necessary measures to terminate the account and delete all information related to it. - The user should be aware that account termination may result in the loss of access to their data, records, and previous information on the platform. Therefore, necessary backups must be taken before completing the account termination process. - After account termination, the user will no longer be able to access any services or features provided by the platform through the terminated account. - The platform reserves the right to retain terminated user records for a reasonable period of time to provide support and assistance should they be needed in the future. - In the event of an account being extended or suspended due to violations of the terms and conditions, the platform has the right to impose additional penalties or take legal action against the user, if necessary. - The user reserves the right to request the account be reopened after it has been closed. Such requests will be processed in accordance with the platform's policy and specific terms. 3. Relationship between the Platform Parties A. Relationship between the Platform and the Service Provider and the Customer The relationship between the Platform and the Service Provider and the Customer is a mediation relationship that brings together the will of the parties on a secure platform to facilitate and expedite business transactions. B. Relationship between the Service Provider (Supplier) and the Customer The relationship between the Service Provider and the Supplier is that of a seller and a buyer. The platform is not responsible for any product or conflict between the seller and the buyer. 4. Our Services Usage Policy A. Our Services Our services provide intermediary services in various sectors, such as e-commerce, financial services, and others. Our role is to provide a safe and effective platform for customers and suppliers to interact and exchange services and products with flexibility and ease. Accordingly, our platform does not own any service or product offered by service providers. It acts as an intermediary connecting the service provider (the "supplier") and the customer. Services and products are provided by the service provider itself, which is solely legally responsible for them. Therefore, the platform is not considered a customer of the service provider; it does not request any service or product on its behalf; rather, the request is made directly by the customer. B. Use of the Service Recognitions: - When using our services, you agree to the processing of information and data and declare that all information and data you provide are accurate and true. You also acknowledge and warrant that you are at least 16 years old or that you are visiting the services under the supervision of a parent or guardian. Under this Agreement, the Company grants you a limited, revocable, non-transferable, and non-exclusive license to access and use the Services solely for shopping purposes. Any breach of this Agreement will result in the immediate revocation of the license granted without prior notice and the termination of your account with the Platform. Use Restrictions: You may not upload, distribute, or publish through the Services any content, information, or other material that infringes any person's copyright, patent, trademark, or other proprietary rights, or that is libelous, threatening, defamatory, obscene, or indecent, or contains viruses or malware. You may not use the Services for any illegal purposes or in a manner that could violate any applicable governmental, local, or international law or regulation; or engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or that, in our opinion, may harm us or other persons using the Services, or expose us or them to liability. - Use the Services in any manner that could disrupt, overburden, or impair the Site, Applications, or any other party's use of the Services; or use any robot, device, process, program, manual means, or other mechanism to index or access the Service for any purpose. 5. Privacy and Cookie Policy When using our Services and placing orders through them, you agree to provide us with your email address, postal address, and/or other contact details truthfully and accurately. You also agree that we may use this information to contact you regarding your order if necessary. We respect your right to privacy. By using our Services or otherwise, you consent to the collection, use, and transfer of your information as set forth in our Privacy and Cookie Policy. Platform Parties' Obligations A. Service Provider Obligations (Supplier) - The Service Provider (Supplier) undertakes to obtain all necessary licenses and official documents to offer services and products for sale online, and guarantees the validity and effectiveness of these licenses throughout the contract term. - The Service Provider undertakes to comply with the e-commerce law and other tax and commercial regulations in force in the Kingdom of Saudi Arabia. - The Service Provider guarantees that it has all necessary legal rights to offer services and products for sale and assumes full responsibility for the authenticity and quality of the services and products. - The Service Provider bears full responsibility for the accuracy and validity of the information, data, and images it provides about the services and products through the application. - The Service Provider guarantees that the services and products provided to customers are original, not imitated, and comply with local laws and regulations. - The Service Provider undertakes to provide services and products in a legal manner and in compliance with local regulations and platform policies. - The Service Provider's advertisements must include all necessary information about the products and services, and the advertisements must be legal and compliant with local laws. - The Service Provider undertakes to provide delivery, return, and warranty policies with each advertisement for services or products and to explain these policies to customers. - The Service Provider guarantees the legality of the services and products it provides through the application and bears full legal responsibility in the event of any legal violations. - The Service Provider undertakes to provide the advertised features and benefits in accordance with the contract with the customer and bears responsibility for any failure to adhere to the advertisement description. - The Platform undertakes to provide the necessary support and assistance to the Service Provider to comply with all of the above obligations. B- Customer Obligations: - The Customer must be legally qualified to participate in this agreement and to make purchases through the electronic platform. There must be no legal restrictions preventing the Customer from benefiting from the platform's services. - The Customer pledges that he understands and accepts that all services and products provided through the platform are from service providers ("suppliers"), and that the Platform's role is limited to facilitating communication between the parties. - The Customer must review the sales policies offered by the Service Provider, which the Customer undertakes to adhere to in its dealings with the Service Provider. - The Customer undertakes to review the advertisement description provided by the Service Provider to learn all details related to the requested service or product. - The Customer requests to purchase services and products from the Service Provider through the Platform, and the User undertakes to complete the payment process through the Platform to ensure the rights of all parties. - The customer is committed to using the services and products legally and is prohibited from abusing the platform or service providers. - The customer must provide legal, objective reviews that are consistent with the reviews policy approved in the agreement. - The customer is committed to complying with all applicable laws and regulations in the Kingdom of Saudi Arabia. 7. Sales and Service Provision Policy A. Selling Through the Platform - The service provider undertakes to clarify the sales policies to customers through the platform before making purchases. - The return policy must comply with e-commerce laws, and any violating provisions will be immediately removed to protect the customer's rights. - The service provider is committed to the specified delivery policy and delivers orders according to the specified dates and conditions. - The customer must review the sales policies before purchasing. If they are not available, they must discontinue the purchase and notify the platform. - Sales policies are provided by the service providers. The platform makes no guarantees regarding their implementation, and the service provider bears full responsibility for them. - If sales policies are not available, the e-commerce law and any applicable consumer protection laws in the Kingdom of Saudi Arabia apply. The platform is committed to providing a safe and reliable commercial environment for all users, protecting their rights, and ensuring a smooth and reliable online shopping experience. B. Pricing and Payment - The prices of all services and products are determined by the service provider in coordination with the platform. The platform reserves the right to change these prices at any time. These prices include applicable taxes. The service provider undertakes to comply with e-commerce, consumer protection, and tax laws in the prices set on the platform. - The service provider reserves the right to offer discounts and special offers on the platform. - The service provider reserves the right to amend the prices it has offered on the platform at any time, subject to coordination and approval by the platform. These amendments will apply to new orders. Existing orders will be processed at the previously agreed-upon prices, unless the reason for the change is a new tax on services, products, or the platform. - Once you have selected all the products you wish to purchase, they will be added to your shopping bag. The next step is to complete the order and make payment. To do this, you must follow the steps of the purchase process and verify the required information at each step. When you click "Buy Now," "Place Order," or "Authorize Payment" and "Continue," you confirm that the credit card is yours. Credit cards are subject to verification and authorization by the card issuer. C. Returns - The return process is conducted in accordance with the service provider's return policy. The service provider must inform the customer of the return policy before completing the purchase. - The service provider must preserve all customer rights that may not be infringed by the regulations, and the return policy must not conflict with any applicable regulations in the Kingdom of Saudi Arabia. - The customer must submit all return and exchange requests directly to the service provider, as the platform is not authorized to receive these requests and does not have a specific mechanism for doing so. - The regular return deadline must be no less than 7 days, as specified in the E-Commerce Law and its Implementing Regulations. - The service provider must adhere to the return cases stipulated in the E-Commerce Law and its Implementing Regulations. - The customer must also adhere to the exceptions stipulated in the E-Commerce Law that prohibit returns. 8. Disclaimer - Our role is limited to providing an electronic platform through which the Service Provider can display their products. We do not interfere with the Service Provider's content or product sales processes. - The Service Provider disclaims the "Salsal" Platform's liability for any damages incurred by the Customer as a result of purchasing or using the products or services they offer through the Platform. - The Customer disclaims the "Salsal" Platform's liability for any damages incurred as a result of purchasing or using the products or services they purchase from Service Providers through the Platform. - The Service Provider and Customer disclaim the "Salsal" Platform's liability for any communications and payments made between them, whether inside or outside the Platform. - The User acknowledges and agrees that the "Salsal" Platform will not be liable in any way for any direct or indirect damages incurred by the Service Provider, the Customer, or any Platform User. - This disclaimer includes any material or moral damages incurred by any Platform User. - Any terms and conditions exempting or limiting liability set forth in this Agreement and any applicable laws shall apply. - The sole remedy for dissatisfaction with the Services is to discontinue use of the Services. 9. Content Content created by a Service Provider (“Supplier”) or Customer. When you transmit, post, upload, share, or otherwise contribute any content to our Website or Applications, you agree not to contribute any User Content that could reasonably be considered to include, contain, provide, or promote any of the following: (1) Sexually explicit or pornographic content. (2) Vulgar language or profanity. (3) Derogatory, discriminatory, or hateful comments or incitements against specific individuals or groups based on race, ethnic origin, religion, gender, disability, age, nationality, etc. (4) Incitement to violence or other dangerous activities. (5) Terrorism or other criminal activities. (6) Insensitive or offensive comments related to atrocities or heinous acts, health crises or deaths, conflicts or other tragic events, or natural disasters. (7) Harassment, bullying, or threats. (8) (8) Dangerous products, illegal drugs, or the improper use or sale of tobacco and/or alcohol; (9) Transactions in digital or cryptocurrencies; (10) False medical claims or content; (11) Content that violates intellectual property rights; (21) Content that you are not authorized to share, publish, or display in any way; or (31) Any other content that may be deemed illegal, offensive, or restricted by applicable laws or regulations. You further acknowledge and agree that our Company may, in its sole discretion, remove or block any User-Generated Content that it deems to violate the above requirements. Posting User-Generated Content in violation of these Terms may result in the subsequent suspension or termination of all or part of our Services. By accepting these Terms, you acknowledge and agree to only post User-Generated Content that is appropriate for customers. You further acknowledge and agree that our Platform (..) is not obligated to actively monitor or review User-Generated Content before it is displayed on our Sites or Apps, and therefore you are solely responsible for the content you create and choose to post on the Sites or Apps. 10. Intellectual Property - The "Sals" Platform, all of its tangible and intangible elements, and all content included in or made available through the Platform Services (such as text, logos, images, graphics, audio recordings, button icons, digital content, downloadable materials, software, and data compilations) are the property of the "Sals" Platform and are protected by national and international copyright laws. - "Sals" and its associated logos are our trademarks and/or service marks. - The images, logos, page headers, button icons, text, and service names are trademarks and trade dress of the "Sals" Platform. - Reproduction of the "Sals" Platform's trademarks or trade dress in any media or advertising without our written permission is prohibited. 11. Events of Force Majeure or Beyond Our Control Neither we nor the Service Provider shall be liable for any failure to comply with or delay in complying with any of our obligations under the Terms or other contracts when caused by events beyond our reasonable control ("Force Majeure Event"). Force majeure includes any act, event, failure to perform, omission, or accident beyond our reasonable control. It should be understood that our obligations and the obligations of the Service Provider arising from the Terms or other contracts are suspended during the period during which the force majeure condition persists, and we will be granted an extension of the period during which we can fulfill those obligations for a period of time equal to the time during which the force majeure condition persisted. We will use all reasonable resources to eliminate the force majeure condition to the greatest extent possible or to find a solution that enables us to fulfill our obligations under the Terms despite the force majeure condition. 12. Right to Amend and Cancel the Agreement - We reserve the right to amend or update these Terms and Conditions (“Agreement”) relating to the use of the Platform at any time, and we will update the “Last Updated” date at the top of this document. - You must comply with all additional terms and conditions we may provide relating to the use of any of the Services available through the Platform, as they are incorporated into this Agreement. - Your continued use of the Platform following any amendments or additions to the Policies constitutes your express acceptance of those amendments and additions, which will be effective against you. - We have the right to delete any condition or policy we have adopted without requiring user consent. - We have the right at any time to cancel this Agreement or replace it with another agreement. The version available on the Platform will be the approved and applicable agreement for all users. - We have the right to cancel any of the services we provide or change the Platform's activities, in whole or in part, without requiring user consent. - The Platform is committed to sending periodic email reminders when any of the terms of the Terms of Use are modified or cancelled. However, you should check back frequently on our website to be aware of the latest changes. 13. Disputes and Applicable Law - The laws of the Kingdom of Saudi Arabia govern the interpretation and implementation of any term or provision of this Agreement. - The courts of the Kingdom of Saudi Arabia shall have jurisdiction to resolve any dispute arising regarding the interpretation or implementation of any provision of this Agreement. - If any provision of this Agreement becomes invalid, illegal, or unenforceable, the validity and enforceability of the remaining provisions shall not be affected in any way.
